Terms of Service for Auto Repair Shops

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Shop," "you," or "your") and Gearny, LLC, a Texas limited liability company ("Gearny," "we," "us," or "our"), governing your use of the Gearny platform and services.

By registering for, accessing, or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

2. Description of Services

Gearny operates an online platform that connects vehicle owners seeking automotive repair services with qualified auto repair shops. We facilitate quote requests and enable communication between customers and shops.

Our services include but are not limited to:

• Shop profile creation and management
• Quote request distribution
• Customer communication facilitation
• Payment processing (when applicable)
• Review and rating systems

3. Shop Responsibilities and Warranties

3.1 Accuracy of Information

You warrant that all information provided in your shop profile, including but not limited to services offered, warranties, pricing, certifications, and business hours, is accurate, current, and complete. You are solely responsible for maintaining the accuracy of this information.

3.2 Service Warranties and Representations

You are legally bound by any warranties, guarantees, or service representations made in your shop profile.This includes but is not limited to:

• Warranty periods (30-day, 90-day, 1-year, etc.)
• Service capabilities (EV/hybrid work, diagnostic services, etc.)
• Certifications and specializations
• Business hours and availability
• Pricing representations

Failure to honor these representations may result in immediate removal from the platform and potential legal action.

3.3 Professional Standards

You agree to:

• Maintain all required business licenses and insurance
• Comply with all applicable federal, state, and local laws
• Provide services in a professional and timely manner
• Respond to quote requests within 24 hours when possible
• Honor quoted prices for a reasonable period

4. Platform Removal and Termination

4.1 Termination at Will

Gearny reserves the absolute right to remove any shop from the platform at any time, for any reason or no reason, with or without notice. This includes but is not limited to:

• Violation of these Terms
• Customer complaints or poor reviews
• Failure to honor warranties or service representations
• Unprofessional conduct
• Business model changes
• At our sole discretion

4.2 Immediate Termination

We may immediately terminate your access for:

• Fraudulent activity or misrepresentation
• Violation of laws or regulations
• Failure to honor stated warranties
• Harassment of customers or Gearny staff
• Any conduct we deem harmful to our platform or users

5. Fees and Payment

Gearny may charge fees for platform usage, which will be clearly communicated. You agree to pay all applicable fees when due. Failure to pay fees may result in suspension or termination of services.

6. Intellectual Property

You grant Gearny a non-exclusive, royalty-free license to use your shop name, logo, and other content for platform operation and marketing purposes. You retain ownership of your intellectual property.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY TEXAS LAW, GEARNY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability to you shall not exceed the fees paid by you to Gearny in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Gearny from any claims, damages, or expenses arising from:

• Your use of the platform
• Your services provided to customers
• Violation of these Terms
• Infringement of third-party rights
• Your warranties and representations

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Harris County, Texas.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified Terms.
